  • "Subscription" refers to any paid plan or service agreement.
  • "Content" refers to any data, text, files, or materials uploaded to or generated by the Services.

3. Account Registration

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorised access or security breach

4. Subscription and Payments

4.1 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. All fees are quoted in GBP unless otherwise stated.

4.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorise us to charge the applicable fees to your designated payment method.

4.3 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated at least 30 days before taking effect and will apply from your next billing cycle.

4.4 Refunds

Subscription fees are non-refundable except where required by law or at our sole discretion. If you cancel your subscription, you will continue to have access until the end of your current billing period.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorised access to any part of the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload or transmit viruses, malware, or other malicious code
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to send spam or unsolicited communications
  • Resell, sublicense, or redistribute the Services without authorisation
  • Use automated systems to access the Services without our written permission

6. Intellectual Property

6.1 Our Rights

The Services, including all software, designs, text, graphics, and other content, are owned by Prosol Connect and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms.

6.2 Your Content

You retain ownership of any Content you upload to the Services. By uploading Content, you grant us a worldwide, royalty-free licence to use, store, and process that Content solely for the purpose of providing the Services.

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR. You agree that we may process your data as described in our Privacy Policy.

8. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may suspend or restrict access for maintenance, updates, or security reasons. We will endeavour to provide advance notice of planned maintenance where possible.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Services are provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not liable for any loss of data, profits, or business opportunities

10. Indemnification

You agree to indemnify and hold harmless Prosol Connect, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your access immediately if you breach these Terms. We may also terminate the Services with 30 days' notice for any reason.

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. You may request export of your data within 30 days of termination. After this period, we may delete your data.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Services at least 30 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
